直销企业保证金存缴、使用管理办法
商务部、国家工商行政管理总局令(2005年第22号)

《直销企业保证金存缴、使用管理办法》已经2005年10月19日商务部第15次部务会议审议通过,并经工商总局同意,现予以发布,自2005年12月1日起施行。

直销企业保证金存缴、使用管理办法

第一条 根据《直销管理条例》第三十四条第二款规定,制定本办法。

第二条 企业申请直销应提交其在指定银行开设的保证金专门账户凭证,金额为2000万元人民币。保证金为现金。

第三条 直销企业与指定银行签订的保证金专门账户协议应包括下述内容:

(一)指定银行根据商务部和国家工商行政管理总局(以下简称工商总局)的书面决定支付保证金;

(二)直销企业不得违反《直销管理条例》擅自动用保证金,不得以保证金对外担保或者违反《直销管理条例》规定用于清偿债务;

(三)指定银行应及时向商务部和工商总局通报保证金账户情况,商务部和工商总局可以查询直销企业保证金账户;

(四)直销企业和指定银行的权利义务及争议解决方式。

企业在申请设立时应提交与指定银行签署的开设保证金专门账户协议。

第四条 直销企业开始从事直销经营活动3个月后,保证金金额按月进行调整。直销企业于次月15日前将其上月销售额的有效证明文件向指定银行出具,并通过直销行业管理网站向商务部和工商总局备案。直销企业对出具的证明文件的真实性、完整性负责,指定银行应当对证明文件进行形式审查。

直销企业保证金金额保持在直销企业上月直销产品销售收入的15%水平。账户余额最低为2000万元人民币,最高不超过1亿元人民币。

根据直销企业月销售额,如需调增保证金金额的,直销企业应当在向指定银行递交月销售额证明文件后5日内将款项划转到其指定银行保证金账户;如需调减保证金金额的,按企业与指定银行签订的协议办理。

第五条 出现下列情形之一,商务部和工商总局共同决定,可以使用保证金:

(一)无正当理由,直销企业不向直销员支付报酬,或者不向直销员、消费者支付退货款的;

(二)直销企业发生停业、合并、解散、转让、破产等情况,无力向直销员支付报酬或者无力向直销员和消费者支付退货款的;

(三)因直销产品问题给消费者造成损失,依法应当进行赔偿,直销企业无正当理由拒绝赔偿或者无力赔偿的。

第六条 直销员或消费者根据《直销管理条例》和本办法第五条规定要求使用保证金的,应当持法院生效判决书或调解书,向省级商务主管部门或工商行政管理部门提出申请,省级商务主管部门或工商行政管理部门接到申请后10个工作日内将申请材料报送商务部和工商总局。

直销员除持法院生效判决书、调解书外,还应出示其身份证、直销员证及其与直销企业签订的推销合同。消费者除持法院生效判决书、调解书外,还应出示其身份证、售货凭证或发票。

商务部和工商总局接到申请材料后60个工作日内做出是否使用保证金支付赔偿的决定,并书面通知指定银行、直销企业和保证金使用申请人。

直销员违反《禁止传销条例》有关规定的,其申请不予受理。

第七条 根据本办法规定支付保证金后,直销企业应当自支付之日起30日内将其保证金专门账户的金额补足到本办法第四条第二款规定的水平。

第八条 直销企业保证金使用情况应当及时通过商务部和工商总局直销行业管理网站向社会披露。

第九条 直销企业不再从事直销活动的,凭商务部和工商总局出具的书面凭证,可以向指定银行取回保证金。

企业申请直销未获批准的,凭商务部出具的书面凭证到指定银行办理保证金退回手续。

第十条 直销企业违反本办法规定的,按照《直销管理条例》第五十一条予以处罚。

第十一条 商务部和工商总局共同负责直销保证金的日常监管工作。

第十二条 本办法由商务部、工商总局负责解释。

第十三条 本办法自2005年12月1日起施行。

Administrative Measures on Depositing, Payment and Use of Earnest Money of Direct Selling Enterprises

Article 1. The Measures are stipulated in accordance with Article 34 Item 2 of Administrative Regulations on Direct Selling.

Article 2. Enterprises should submit warrant of special account for earnest money in appointed bank when applying for direct selling; the sum is 20,000,000 RMB. Earnest money should be cash only.

Article 3. The agreement of special account for earnest money between direct selling enterprises and bank should includes the following items:

(1). Appointed bank disburse earnest money in accordance with written decision of Ministry of Commerce and State Administration for Industry and Commerce;

(2). Direct selling enterprises can neither violate Administrative Regulations on Direct Selling to use earnest money without authorizing nor use earnest money for guarantee or discharge debt beyond regulations of Administrative Regulations on Direct Selling;

(3). Appointed bank should report situation of earnest money account to Ministry of Commerce and State Administration for Industry and Commerce in time, and Ministry of Commerce and State Administration for Industry and Commerce can inquire about earnest money account of direct selling enterprise.

(4). Rights and obligations of direct selling enterprises and bank as well as disputing resolving methods.

Enterprises should submit agreement of special account for earnest money with appointed bank when applying for establishment.

Article 4. The total sum of earnest money will be adjusted monthly 3 months later since the direct selling enterprises begin undertaking direct selling operation.

Direct selling enterprises should keep the earnest money at a level of 15 percent of sale of last month. The account balance should be 20,000,000 RMB at least, and 100,000,000 at most.

In case any rising in sum of earnest money in line with sale of last month, direct selling enterprises should transfer required sum of money to earnest money account of appointed bank within 5 days after submitting sale certification.

Article 5. In case any of the following situations take place, earnest money can be put into use with decision of Ministry of Commerce and State Administration for Industry and Commerce:

(1). Direct selling enterprises refuse to distribute salary to direct sellers, or pay back the refund without justifiable reasons.

(2). Direct selling enterprises cannot afford salary of direct sellers or refund because of shutout, combination, disbandment, transformation and bankrupt;

(3). Direct selling enterprises refuse to compensate or cannot afford the compensation without justifiable reasons.

Article 6. Direct sellers and consumers apply to provincial administrative commercial departments or departments of industry and commerce with effective judgment or conciliation documents in accordance with Administrative Regulations on Direct Selling and Article 5 of the Measures, provincial administrative commercial departments or departments of industry and commerce will report applying materials to Ministry of Commerce and State Administration for Industry and Commerce in 10 working days.

Besides effective judgment and conciliation documents, direct sellers should also take ID card, certificate of direct seller and sale promotion agreement with direct selling enterprises; consumers should take ID card, good voucher or invoice as well.

Ministry of Commerce and State Administration for Industry and Commerce will decide whether to use earnest money to compensate in 60 working days after receiving applying materials, and inform appointed banks, direct selling enterprises and usurers of earnest money in written form.

In case direct sellers violate related rules of Regulations on Forbidding Pyramid Selling, their applications will not be accepted.

Article 7. Direct selling enterprises complement should sum of the earnest money within 30 days since payment of earnest money in line with level of Article 4 of the Measures Item 2.

Article 8. Use of the earnest money of direct selling enterprises should be disclosed in time through website for direct selling industry administration of Ministry of Commerce and State Administration for Industry and Commerce.

Article 9. When direct selling enterprises no long undertake direct selling activities, earnest money can be taken back with certification in written form of Ministry of Commerce and State Administration for Industry and Commerce.

In case the direct selling applications are not approved, earnest money can be taken back with certification in written form of Ministry of Commerce.

Article 10. Direct selling enterprises violating the Measures will be punished in accordance with Administrative Regulations on Direct Selling Article 51.

Article 11. Ministry of Commerce and State Administration for Industry and Commerce are responsible for the everyday supervision on earnest money of direct selling.

Article 12. Ministry of Commerce and State Administration for Industry and Commerce are responsible for explanation of the Measures.

Article 13. The Measures will take effect as form Dec 1, 2005.
